Terms of Use

These Terms of Use (“Terms”) govern access to and use of the Fuel Planner mobile application, admin dashboard, and related services (the “Services”) provided by GD UNIVERSAL INC (“Fuel Planner,” “we,” “us,” or “our”), a New York corporation located at 2440 East 29th Street, Apt 6R, Brooklyn, NY 11235.

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. The Services

Fuel Planner helps commercial fleets and drivers plan fuel stops, view operational vehicle context, and navigate using third-party map and telematics integrations. The Services are a planning and operations aid. They do not guarantee fuel prices, availability, station amenities, road conditions, or arrival times.

2. Eligibility and accounts

• You must be legally able to enter a binding agreement and authorized by your employer or fleet company to use the Services.
• Driver mobile access is limited to phone numbers approved by a company administrator. Admin dashboard access is limited to authorized company owners and admins.
• You are responsible for safeguarding your login credentials (including SMS codes) and for activity under your account.

3. Safe driving

Do not interact with the mobile app in a way that distracts you from safe vehicle operation. Obey traffic laws and company policies. Fuel Planner is not a substitute for professional judgment, vehicle instruments, or posted signage.

4. Acceptable use

You agree not to:

• Access accounts or data you are not authorized to use
• Interfere with or disrupt the Services or related systems
• Reverse engineer, scrape, or misuse APIs except as allowed by law
• Use the Services for unlawful, fraudulent, or harmful purposes
• Share login access outside your authorized company role

5. Company content and integrations

Fleet companies may connect third-party systems (for example, Samsara) and manage driver phone lists. Those companies are responsible for their own compliance, consent, and accuracy of data they provide. Map and navigation features rely on providers such as Mapbox and may be subject to those providers’ terms.

6. Intellectual property

Fuel Planner and its logos, software, and content are owned by GD UNIVERSAL INC or its licensors. These Terms grant a limited, non-exclusive, non-transferable right to use the Services as provided, for your company’s internal fleet operations, while you remain authorized.

7. Fees

Company subscriptions and billing (if any) are handled through the admin dashboard and related agreements. The driver mobile app does not sell digital goods or subscriptions through the Apple App Store.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that fuel, routing, or telematics data will be accurate or complete.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GD UNIVERSAL INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOUR COMPANY TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF NO SUCH PAYMENTS WERE MADE).

10. Indemnity

To the extent permitted by law, you (and, for company accounts, your company) agree to indemnify and hold us harmless from claims arising out of your misuse of the Services, violation of these Terms, or violation of others’ rights.

11. Suspension and termination

We may suspend or terminate access if you violate these Terms, if your company ends its relationship with us, or if required for security or legal reasons. You may stop using the Services at any time. Drivers may delete their mobile account in-app as described in the Privacy Policy and Support page.

12. Changes

We may update these Terms by posting a revised version with a new “Last updated” date. Continued use after changes constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of New York, excluding conflict-of-law rules. Courts located in New York County, New York, will have exclusive jurisdiction, except where prohibited by law.
